Terms of Service
These Terms govern rental businesses' (“Operators”) use of the LendingCloset platform — the operator dashboard, the embeddable booking widget, subscription billing, and Stripe Connect payouts. By creating a store you agree to them.
1. The service
LendingCloset provides software for Operators to list rental equipment, take bookings, and collect payment directly through their own Stripe account. LendingCloset does not rent equipment and is not a party to the rental agreement between an Operator and its customer.
2. Subscription & payments
Operators pay a subscription to use the platform. Customer rental payments flow directly to the Operator's connected Stripe account; LendingCloset does not hold rental funds.
3. Operator responsibilities
Operators are responsible for their listings, pricing, fulfillment, customer service, tax, and for providing their customers a privacy notice and rental terms. Operators must use the platform lawfully and keep their account credentials secure.
4. Lawful items & legal compliance
Operators are solely responsible for everything they list, rent, or sell through the platform. By using LendingCloset, the Operator represents and warrants that it has the legal right to rent or sell each item, and that its items are not illegal, stolen, counterfeit, recalled, or otherwise prohibited, restricted, or hazardous. An Operator must not list any item whose rental or sale requires a license or permit unless the Operator holds all such licenses and permits.
The Operator must comply with all laws applicable to its business — federal, state, and local — including licensing, product-safety, consumer-protection, and tax requirements in every jurisdiction where it operates. LendingCloset is software only; it does not review or police Operator listings for legality and is not responsible for an Operator's items, transactions, or conduct.
The Operator agrees to indemnify and hold LendingCloset harmlessfrom any claims, losses, fines, or liabilities arising out of the Operator's listings, items, transactions, or violation of any law.
5. Disclaimers & liability
The platform is provided “as is.” To the extent permitted by law, LendingCloset disclaims implied warranties and limits liability as set out in the final executed terms.
6. Governing law
These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules. This sets the governing law of the agreement between LendingCloset and the Operator; it does not change the Operator's obligation under Section 4 to comply with the laws applicable to it wherever it operates.
Data Processing Addendum (DPA)
Forms part of the Terms above.
A. Roles of the parties
For personal data of an Operator's customers (renters) processed through the platform, the Operator is the Controller and LendingCloset is the Processor. For Operator account and billing data, LendingCloset acts as an independent Controller.
B. Details of processing
- Subject matter / purpose: operating the booking widget and dashboard — storing catalog, orders, customers, and sending transactional email on the Operator's behalf.
- Duration: the term of the Operator's subscription.
- Data subjects: the Operator's customers (renters).
- Data types: name, email, phone, delivery address, and booking details. Payment card data is handled by Stripe, not stored by LendingCloset.
C. LendingCloset (Processor) obligations
- Process customer personal data only on the Operator's documented instructions (these Terms and use of the platform).
- Ensure personnel are bound by confidentiality.
- Implement appropriate technical and organizational security measures (encryption in transit, access controls, tenant isolation via row-level security).
- Assist the Operator, as reasonably possible, with data-subject requests and security obligations.
- Notify the Operator without undue delay after becoming aware of a personal data breach.
- Delete or return customer personal data on termination, subject to legal retention requirements.
D. Sub-processors
The Operator authorizes LendingCloset to use these sub-processors; LendingCloset will give notice of changes:
- Supabase — database, authentication, and hosting.
- Stripe — payment processing and payouts.
- Resend — transactional email delivery.
E. International transfers & CCPA
Where personal data is transferred across borders, the parties will rely on a lawful transfer mechanism. For California residents, LendingCloset acts as a “service provider” and does not sell or share customer personal data, and uses it only to provide the service.
F. Operator (Controller) obligations
The Operator is responsible for having a lawful basis to collect customer data and for providing its customers an accurate privacy notice (see your dashboard's privacy template) and rental terms.
Final, executed terms and DPA will be published before the platform accepts live customers.
